Terms of Service

    Please read these Terms of Service carefully before using MedProH. By creating an account or using our platform, you agree to be bound by these terms.
  

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MedProH Inc. ("MedProH", "we", "us", or "our"). By accessing or using the MedProH platform, mobile applications, or website (collectively, the "Platform"), you agree to these Terms.

If you do not agree to these Terms, you may not use the Platform. We reserve the right to modify these Terms at any time. Continued use after modifications constitutes acceptance.

2. Description of Service

MedProH is an on-demand healthcare staffing platform that connects licensed healthcare professionals ("Professionals") with healthcare facilities ("Facilities") for temporary shift-based work. MedProH acts as a marketplace and is not an employer of Professionals.

Independent Contractor Status: Professionals using MedProH are independent contractors, not employees of MedProH or the Facilities. You are responsible for your own taxes, insurance, and compliance with applicable laws.

3. Eligibility

3.1 Healthcare Professionals

To use MedProH as a Professional, you must:

Be at least 18 years of age
Hold a valid, current professional license in your state of practice
Have legal authorization to work in the United States
Pass a background check as required
Maintain current malpractice insurance (where applicable)
Accurately represent your qualifications and experience

3.2 Healthcare Facilities

To use MedProH as a Facility, you must:

Be a licensed healthcare facility operating in compliance with applicable laws
Have a valid NPI (National Provider Identifier) number
Maintain appropriate liability insurance
Have authority to enter into staffing agreements

4. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use at support@medproh.app.

You may not create multiple accounts, share accounts, or use another person's account without authorization.

5. Shift Policy

5.1 Shift Acceptance

When a Professional accepts a shift, they enter into a binding commitment to fulfill that shift. Accepting a shift and failing to appear constitutes a No-Show.

5.2 No-Show Policy

No-Show Consequences:

First no-show: Written warning and $50 penalty deducted from next payment
Second no-show: $100 penalty and 7-day suspension
Third no-show: Permanent account suspension

A no-show is defined as failing to appear for an accepted shift without canceling at least 4 hours in advance.

5.3 Cancellation Policy

Facility	More than 4 hours	No penalty

5.4 Check-In and Check-Out

Professionals must check in and check out via the MedProH app. Check-in and check-out times are recorded with GPS verification and serve as the official record of hours worked. Falsifying check-in/out data is grounds for immediate account termination.

6. Payments

6.1 Platform Fee

MedProH charges a 15% platform fee on all shift gross rates. This fee is deducted from the gross rate before payment to the Professional. Facilities are charged the full gross rate posted.

6.2 Payment Processing

Payments are processed via Stripe Connect. Professionals must complete Stripe onboarding to receive payments. Payments are typically transferred within 2-3 business days after shift completion.

6.3 Tax Responsibilities

As independent contractors, Professionals are solely responsible for reporting and paying all applicable taxes on earnings. MedProH will issue 1099-NEC forms to Professionals earning $600 or more in a calendar year.

7. Dispute Resolution

7.1 Shift Disputes

Either party may file a dispute within 48 hours of shift completion. During a dispute:

Payment is placed on hold pending resolution
Both parties must submit evidence within 24 hours
MedProH will review and issue a decision within 48 hours
MedProH's decision is final

7.2 Arbitration

Any disputes not resolved through our internal process shall be settled by binding arbitration in accordance with the American Arbitration Association (AAA) rules. Arbitration shall take place in Dallas, Texas. You waive your right to a jury trial or class action lawsuit.

8. Professional Conduct

Professionals agree to:

Arrive on time and in appropriate professional attire
Maintain current licensure and certifications
Adhere to facility policies and procedures
Treat patients, staff, and colleagues with respect
Maintain patient confidentiality in accordance with HIPAA
Report any unsafe conditions or incidents immediately
Not solicit direct employment from facilities met through MedProH for 12 months

9. Facility Obligations

Facilities agree to:

Provide accurate shift descriptions and requirements
Ensure a safe working environment
Provide necessary orientation and access to systems
Supervise Professionals appropriately
Report any performance concerns within 24 hours of shift completion
Not circumvent MedProH to hire Professionals directly within 12 months

10. Prohibited Activities

You may not:

Provide false or misleading information about your qualifications
Use the platform for any unlawful purpose
Harass, threaten, or discriminate against any user
Attempt to circumvent our payment system
Share your account with others
Reverse engineer or attempt to access our systems without authorization
Post shifts that violate applicable staffing laws or regulations

11. Termination

MedProH reserves the right to suspend or terminate any account at any time for violation of these Terms, fraudulent activity, or conduct that harms the platform or other users. Upon termination, any pending payments will be processed per our standard timeline unless fraud is suspected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDPROH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO MEDPROH IN THE 3 MONTHS PRECEDING THE CLAIM.

MedProH is not responsible for the conduct, performance, or qualifications of Professionals or Facilities, and makes no warranty regarding the quality of services provided.

13. Indemnification

You agree to indemnify and hold harmless MedProH and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal proceedings shall be conducted in Dallas County, Texas.
